Terms of Service

Welcome to Wenmar Pro. These Terms of Service ("Terms") are a binding agreement between you and Wenmar Pro Inc. ("Wenmar", "we", "us", "our"). By using Wenmar Pro, you agree to these Terms. If you don't agree, please don't use the service.

1. Definitions

Here's what we mean when we say:

  • "Services" — The Wenmar Pro platform, including the app at app.wenmarpro.com, shop-specific subdomains, customer portals, mobile apps, and any related services.
  • "Customer" or "you" — The automotive shop or business that creates an account.
  • "Authorized Users" — Your employees, technicians, service advisors, and contractors you allow to use the Services under your account.
  • "Customer Data" — All data you and your Authorized Users enter into Wenmar Pro, including customer information, vehicle data, work orders, invoices, messages, and uploaded files.
  • "Business Hours" — 9:00 a.m. to 5:00 p.m. Eastern Time, Monday through Friday, excluding Canadian statutory holidays observed by Wenmar.
  • "Plan" — Your subscription tier (Lift, Drive, or Forge) and billing cycle (monthly or annual).

2. Account Terms

Who can use Wenmar Pro: You must be at least 18 years old and have the authority to bind your business to these Terms. Automotive repair shops must hold valid licenses and insurance required by their province or territory.

Account security: You're responsible for maintaining the security of your account and ensuring your Authorized Users do the same. Use strong passwords. We recommend enabling two-factor authentication. Tell us immediately if you suspect unauthorized access.

Your responsibility: You're responsible for everything that happens under your account, including all activity by your Authorized Users. Make sure your users understand and follow these Terms.

Account ownership: The person who creates the account is the account owner. You can transfer ownership, but you need to contact us to do it properly.

3. Acceptable Use & Messaging

Use Wenmar Pro responsibly: You agree not to:

  • Use Wenmar Pro for illegal purposes
  • Send spam, harassment, or abusive messages
  • Upload viruses, malware, or harmful code
  • Attempt to access accounts or data that aren't yours
  • Scrape, spider, or data-mine the platform
  • Interfere with the service's operation for other users
  • Reverse engineer or attempt to extract our source code
  • Use excessive API calls that could impact service performance
  • Impersonate others or misrepresent your identity
  • Violate intellectual property or privacy rights

SMS and messaging: Wenmar Pro uses Twilio to facilitate messaging. You are the "Sender" of all messages and must comply with Canada's Anti-Spam Legislation (CASL), the U.S. Telephone Consumer Protection Act (TCPA), and carrier-specific requirements (including A2P 10DLC registration). This means:

  • You have obtained express "opt-in" consent from each recipient before texting them
  • You include required identification information
  • You honor unsubscribe requests (e.g., STOP) promptly
  • You respect calling and messaging time restrictions
  • Provisioning: You are responsible for providing the necessary business documentation for brand vetting and campaign registration required by mobile carriers

By providing phone numbers, you consent to receive operational texts (appointment reminders, status updates). Message and data rates may apply. Reply STOP to opt out of non-essential messages.

4. Subscriptions, Billing & Fiska Payments

Our plans: We offer three subscription tiers:

  • Lift: $239 CAD/month (or $209/month when billed annually)
  • Drive: $419 CAD/month (or $369/month when billed annually)
  • Forge: $539 CAD/month (or $489/month when billed annually)

Payment Processing: Wenmar Pro integrates with Fiska for online and in-person payments. By using these features, you agree to Fiska’s Terms of Service and their designated payment processor’s agreement. You must provide accurate business information for KYC (Know Your Customer) checks.

Trial: You can try Wenmar Pro free for 14 days. During the trial, certain features have usage caps (25 SMS messages, 5 license plate lookups, 20 AI Copilot queries).

Billing: All prices are in Canadian Dollars (CAD). You authorize us to charge your payment method via Fiska for your subscription and add-ons. If payment fails, we'll give you a grace period before suspending your account.

Plan changes: Upgrades take effect immediately (prorated). Downgrades take effect at the end of the current billing period.

5. Cancellation & Termination

How to cancel: You can cancel your subscription anytime through your account settings. Self-service cancellation is the only valid method.

What happens when you cancel: Cancellation takes effect immediately at the end of your paid period. We don't provide refunds for partial billing periods. After your paid period ends, your account enters a 90-day data retrieval period.

When we may terminate: We may suspend or terminate your account for violations of these Terms, security risks, illegal activity, non-payment, or harassment of our team.

6. Data Retrieval & Deletion

Exporting your data: You can export your Customer Data anytime using the built-in features. We recommend regular backups.

After cancellation: You have 60 days to retrieve your data in read-only mode. After this period, we may permanently delete your Customer Data. Purging from backups may take up to 60 additional days.

7. Business Hours & Support

When we're available: Support is available during Business Hours (9:00 a.m. to 5:00 p.m. ET, Mon-Fri, excluding Canadian holidays) via help@wenmarpro.com. Forge plan customers receive priority support.

8. Service Status

Transparency: Check real-time system status and incident history anytime at status.wenmarpro.com.

9. Confidentiality & Privacy

PIPEDA compliance: We comply with Canada's Personal Information Protection and Electronic Documents Act. We use personal information only to provide Services, limit access to authorized personnel, and use reasonable security safeguards.

Data hosting: Your data is hosted in Canada and the United States. By using Wenmar Pro, you consent to this cross-border transfer.

10. Professional Compliance & Automotive Disclosures

Compliance: You are responsible for ensuring your use of Wenmar Pro complies with Ontario's Consumer Protection Act and other provincial automotive regulations. We provide tools to help, but they do not constitute legal advice.

Professional licenses: You warrant that you and your staff hold all required automotive repair licenses, permits, and insurance coverage required by your jurisdiction.

11. Security & PCI Compliance

Measures: We use TLS encryption, access controls, and secure infrastructure. PCI compliance: While Fiska handles payment transmission, you are responsible for maintaining PCI DSS compliance for any cardholder data you handle outside our system (e.g., terminal physical security).

12. Third-Party Services & QuickBooks Disclosure

Integrated services: Use of Fiska, Twilio, and QuickBooks is subject to their respective terms. We are not responsible for their performance.

QuickBooks Online: If you connect to QuickBooks Online, you authorize Wenmar Pro to act as your agent in transmitting financial data (invoices, customers, payments) to Intuit Inc. You are responsible for the accuracy of synced data and for verifying reconciliations within your accounting software.

13. Intellectual Property

Ownership: We own the Services and software. You own your Customer Data but grant us a license to use it solely to provide the Services. We may use aggregated, anonymized data for service improvement.

14. Unsolicited Ideas

Unsolicited ideas sent to us become our property without compensation. This prevents disputes over similar features in development.

15. Beta & Early Access

Early access features are provided "AS IS" without warranties and may be discontinued or changed at any time.

16. Liability & Indemnity

Limitation of liability: We are not liable for indirect or consequential damages. Our total liability is limited to the fees you paid us in the 12 months preceding the claim. You agree to indemnify Wenmar Pro against claims arising from your data, your use of the service, or your professional services.

17. Dispute Resolution

Jurisdiction: These Terms are governed by the laws of Ontario, Canada. Disputes will be resolved exclusively in the courts of Toronto, Ontario.

18. Governing Law & U.S. Expansion

When we expand into the U.S., we will publish supplemental Terms with 30 days' notice. Until then, Ontario law applies to all users.

19. General Terms

These Terms and the Privacy Policy are the entire agreement. We may update them with notice. Neither party is liable for Force Majeure events beyond reasonable control.
